01Objet

Les présentes conditions s'appliquent à toutes les prestations de ÆRĀ Studio : création et refonte de sites internet, développement d'applications web et mobiles, intégration d'agents IA vocaux, maintenance. Toute commande implique leur acceptation.

02Devis et commande

Chaque projet est réalisé sur mesure et fait l'objet d'un devis écrit et gratuit, valable 30 jours. Le devis interactif du site est une estimation qui sert à préparer ce document.

La commande est ferme à réception du devis signé et d'un acompte de 30 % du montant total.

03Prix et paiement

Les prix sont ceux du devis signé. Toute demande qui sort du périmètre convenu fait l'objet d'un devis complémentaire avant d'être réalisée.

Le solde est payable selon les modalités suivantes : à la livraison, à 30 jours. Tout retard de paiement entraîne les intérêts et indemnités prévus par la loi.

04Délais et déroulement

Le calendrier est fixé au devis. Le projet avance par étapes : découverte, maquettes, développement par sprints, tests, mise en ligne. Chaque étape est validée avec le client avant de passer à la suivante.

Les délais supposent que le client fournisse ses contenus et ses validations dans les temps convenus ; un retard de sa part décale d'autant la livraison.

05Engagements du client

• fournir des contenus (textes, images, logos) dont il détient les droits ;
• désigner un interlocuteur unique pour les validations ;
• répondre aux demandes de validation dans un délai raisonnable.

06Propriété et droits

Après paiement complet, le client devient propriétaire du site livré : design, contenus et code développé spécifiquement pour lui. Les bibliothèques et outils tiers restent soumis à leurs propres licences.

Sauf demande contraire écrite, ÆRĀ Studio peut présenter la réalisation dans son portfolio.

07Garantie et maintenance

Les anomalies signalées dans les 30 jours suivant la mise en ligne sont corrigées sans frais. Au-delà, les mises à jour, la sécurité, les sauvegardes et les évolutions relèvent d'un contrat de maintenance proposé séparément.

08Agents IA vocaux

Les agents IA reposent sur des services tiers dont la disponibilité et le coût peuvent évoluer. Leurs réponses sont générées automatiquement : le client reste responsable des informations qu'il leur confie et de leur usage auprès de ses propres clients.

09Responsabilité

ÆRĀ Studio est tenu à une obligation de moyens. Sa responsabilité est limitée au montant payé pour la prestation concernée et ne couvre pas les dommages indirects (perte de chiffre d'affaires, de données ou d'image).

10Résiliation

En cas d'arrêt du projet par le client, le travail déjà réalisé reste dû et l'acompte reste acquis. En cas de manquement grave d'une partie, l'autre peut résilier après une mise en demeure restée sans effet pendant 15 jours.

11Droit applicable

Les présentes conditions sont soumises au droit suivant : le droit belge. À défaut d'accord amiable, sont seuls compétents : les tribunaux de l'arrondissement judiciaire de Bruxelles.

01Purpose

These terms apply to all services provided by ÆRĀ Studio: creation and redesign of websites, development of web and mobile applications, integration of AI voice agents, maintenance. Any order implies their acceptance.

02Quote and order

Every project is custom-made and is the subject of a free written quote, valid for 30 days. The interactive quote on the site is an estimate used to prepare that document.

The order is firm on receipt of the signed quote and a deposit of 30 % of the total amount.

03Price and payment

Prices are those of the signed quote. Any request outside the agreed scope is the subject of an additional quote before it is carried out.

The balance is payable on delivery, within 30 days. Any late payment gives rise to the interest and compensation provided for by law.

04Timing and process

The schedule is set in the quote. The project moves forward in stages: discovery, mockups, development in sprints, testing, launch. Each stage is approved with the client before moving on to the next.

Deadlines assume that the client provides content and approvals within the agreed time; any delay on the client's side postpones delivery accordingly.

05Client commitments

• provide content (texts, images, logos) to which the client holds the rights;
• appoint a single contact person for approvals;
• answer approval requests within a reasonable time.

06Ownership and rights

After full payment, the client becomes the owner of the delivered site: design, content and code developed specifically for the client. Third-party libraries and tools remain subject to their own licences.

Unless otherwise requested in writing, ÆRĀ Studio may show the work in its portfolio.

07Warranty and maintenance

Defects reported within 30 days of launch are fixed free of charge. After that, updates, security, backups and improvements fall under a maintenance contract offered separately.

08AI voice agents

AI agents rely on third-party services whose availability and cost may change. Their answers are generated automatically: the client remains responsible for the information entrusted to them and for their use with the client's own customers.

09Liability

ÆRĀ Studio is bound by an obligation of means. Its liability is limited to the amount paid for the service concerned and does not cover indirect damage (loss of revenue, data or reputation).

10Termination

If the client stops the project, the work already done remains due and the deposit is retained. In the event of a serious breach by one party, the other may terminate after formal notice has remained without effect for 15 days.

11Applicable law

These terms are governed by Belgian law. Failing an amicable settlement, the courts of the judicial district of Brussels have sole jurisdiction.

01Voorwerp

Deze voorwaarden gelden voor alle diensten van ÆRĀ Studio: ontwerp en vernieuwing van websites, ontwikkeling van web- en mobiele applicaties, integratie van AI-spraakagenten, onderhoud. Elke bestelling houdt de aanvaarding ervan in.

02Offerte en bestelling

Elk project wordt op maat gemaakt en krijgt een gratis schriftelijke offerte, 30 dagen geldig. De interactieve offerte op de site is een raming die dient om dat document voor te bereiden.

De bestelling is definitief na ontvangst van de ondertekende offerte en een voorschot van 30 % van het totaalbedrag.

03Prijs en betaling

De prijzen zijn die van de ondertekende offerte. Elke vraag buiten de afgesproken omvang krijgt een bijkomende offerte voor ze wordt uitgevoerd.

Het saldo is betaalbaar bij oplevering, binnen 30 dagen. Elke laattijdige betaling geeft aanleiding tot de wettelijke interesten en vergoedingen.

04Termijnen en verloop

De planning wordt vastgelegd in de offerte. Het project verloopt in stappen: kennismaking, ontwerpen, ontwikkeling in sprints, testen, lancering. Elke stap wordt met de klant goedgekeurd voor de volgende begint.

De termijnen gaan ervan uit dat de klant zijn inhoud en goedkeuringen tijdig bezorgt; een vertraging aan zijn kant verschuift de oplevering evenredig.

05Verbintenissen van de klant

• inhoud aanleveren (teksten, beelden, logo's) waarvan hij de rechten bezit;
• één contactpersoon aanduiden voor de goedkeuringen;
• binnen een redelijke termijn antwoorden op vragen om goedkeuring.

06Eigendom en rechten

Na volledige betaling wordt de klant eigenaar van de opgeleverde site: ontwerp, inhoud en de specifiek voor hem ontwikkelde code. Bibliotheken en tools van derden blijven onderworpen aan hun eigen licenties.

Tenzij schriftelijk anders gevraagd, mag ÆRĀ Studio de realisatie in zijn portfolio tonen.

07Garantie en onderhoud

Fouten die binnen 30 dagen na de lancering worden gemeld, worden kosteloos verholpen. Daarna vallen updates, veiligheid, back-ups en uitbreidingen onder een onderhoudscontract dat apart wordt aangeboden.

08AI-spraakagenten

AI-agenten steunen op diensten van derden waarvan de beschikbaarheid en de kostprijs kunnen evolueren. Hun antwoorden worden automatisch gegenereerd: de klant blijft verantwoordelijk voor de informatie die hij hun toevertrouwt en voor het gebruik ervan bij zijn eigen klanten.

09Aansprakelijkheid

ÆRĀ Studio heeft een middelenverbintenis. Zijn aansprakelijkheid is beperkt tot het bedrag dat voor de betrokken dienst is betaald en dekt geen indirecte schade (verlies van omzet, gegevens of imago).

10Beëindiging

Zet de klant het project stop, dan blijft het reeds uitgevoerde werk verschuldigd en blijft het voorschot verworven. Bij een ernstige tekortkoming van een partij kan de andere de overeenkomst beëindigen nadat een ingebrekestelling 15 dagen zonder gevolg is gebleven.

11Toepasselijk recht

Deze voorwaarden vallen onder het Belgisch recht. Komt er geen minnelijke oplossing, dan zijn alleen de rechtbanken van het gerechtelijk arrondissement Brussel bevoegd.
